1. Introduction and Acceptance of Terms
Welcome to OkPilot. OkPilot is a product of Telyport Technologies Private Limited ("OkPilot," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the OkPilot website at okpilot.ai, the OkPilot platform, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
OkPilot is a field operations software platform designed to help businesses manage deliveries, service calls, inspections, collections, and field teams. The Service includes:
- A web-based operator console for dispatching, routing, and tracking
- A mobile field app for drivers, technicians, and field staff
- A customer tracking portal for real-time visibility
- An AI assistant for natural-language task management and operational insights
The Service is provided on an "as-is" basis and may be updated, modified, or improved at any time.
3. Account Registration and Security
To use the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Keep your account credentials confidential and secure
- Accept responsibility for all activity that occurs under your account
- Notify OkPilot promptly at hello@okpilot.ai if you become aware of any unauthorized access to or use of your account
OkPilot reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Use the Service for any illegal or unauthorized purpose
- Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
- Interfere with or disrupt the integrity or performance of the Service
- Upload, transmit, or distribute any viruses, malware, or other malicious code
- Use the Service to send unsolicited communications or spam
- Resell, sublicense, or redistribute the Service without written permission from OkPilot
5. Intellectual Property
The Service, including its design, code, features, documentation, and all related content, is owned by OkPilot and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by OkPilot.
Subject to your compliance with these Terms, OkPilot grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription for your internal business purposes.
You retain all rights to the data you upload to or create within the Service ("Your Data"). Nothing in these Terms transfers ownership of Your Data to OkPilot.
6. Your Data
You own your data. OkPilot does not claim ownership of any data you submit to or generate through the Service.
By using the Service, you grant OkPilot a limited license to process, store, and transmit Your Data solely for the purpose of providing and improving the Service. We will not sell, rent, or share Your Data with third parties except as described in our Privacy Policy.
You may export or delete Your Data at any time through the Service. Upon termination of your account, you will have 30 days to export Your Data before it is permanently removed from our systems.
7. Payment Terms
Access to the Service requires a paid subscription. By subscribing, you agree to the following:
- Billing cycle. Subscriptions are billed either monthly or annually, depending on the plan you select.
- Payment. Payment is due at the beginning of each billing cycle. All fees are quoted in U.S. dollars unless otherwise stated.
- Price changes. OkPilot may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle following the notice period.
- Refunds. If you cancel within the first 14 days of a new subscription, you may request a full refund. After 14 days, fees are non-refundable. Annual subscriptions cancelled mid-term are not eligible for a pro-rated refund unless required by applicable law.
- Taxes. You are responsible for any applicable taxes, duties, or government charges associated with your use of the Service.
8. Service Availability
OkPilot strives to maintain high availability of the Service but does not guarantee 100% uptime. The Service may be temporarily unavailable due to:
- Scheduled maintenance, for which we will provide reasonable advance notice
- Emergency maintenance required to address security vulnerabilities or critical issues
- Circumstances beyond our reasonable control, including internet outages, natural disasters, or third-party service failures
OkPilot will not be liable for any loss or damage arising from service downtime that is beyond our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- OkPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability
- OkPilot's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the total fees you paid to OkPilot during the twelve (12) months immediately preceding the event giving rise to the claim
These limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if OkPilot has been advised of the possibility of such damages.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. OkPilot specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, OkPilot does not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the use of the Service will be accurate or reliable
- Any errors in the Service will be corrected
OkPilot is a field operations software platform. It is not a compliance product and does not certify compliance with any regulatory body, board, or government authority. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations.
11. Indemnification
You agree to indemnify, defend, and hold harmless OkPilot, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any data or content you submit to the Service
- Any claim by a third party related to your use of the Service
12. Termination
Either party may terminate this agreement as follows:
- By you. You may cancel your subscription at any time by contacting us at hello@okpilot.ai or through your account settings. Cancellation takes effect at the end of your current billing cycle.
- By OkPilot. OkPilot may suspend or terminate your access to the Service immediately if you violate these Terms, and with 30 days' written notice for any other reason.
Upon termination:
- Your right to use the Service ceases immediately (or at the end of your billing cycle, if you initiated the cancellation)
- Your Data will remain available for export for 30 days following termination
- After the 30-day period, Your Data will be permanently deleted from our systems
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles.
Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the courts located in Bengaluru, Karnataka, India. You consent to the personal jurisdiction of such courts and waive any objection to venue.
14. Changes to Terms
OkPilot reserves the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' advance notice by posting the updated Terms on our website and, where possible, by notifying you via email.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service before the changes take effect.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
